These Terms of Service ("Terms") govern your use of VendyGate ("the Platform"), operated by VendyGate. By creating an account or using the Platform you agree to these Terms. This page is maintained by VendyGate to answer common questions about how the Platform works.

1. Accounts and roles

The Platform supports three account types: Vendors (suppliers of goods and services), Companies (buyers posting tenders), and Service Providers (professionals offering compliance help). You must select the account type that accurately reflects how you will use VendyGate.

Each organization account has a custodian — the natural person who registered the account and is responsible for its activity, including keeping login credentials confidential and keeping company information accurate.

2. Verification ("Verify once, bid everywhere")

Vendors may upload compliance documents (e.g., certificate of incorporation, tax clearance, TIN, licenses). VendyGate reviews the documents you submit and marks your account status accordingly. Verification is a review of the documents you provide; it is not a guarantee of your performance, solvency, or legal standing.

Companies may only view a vendor's compliance documents when that vendor has actively submitted a bid on the company's tender. VendyGate does not sell or share vendor documents outside of this bidding context.

3. Tenders and bids

Companies post tenders describing the goods or services they need. Vendors may submit bids on open tenders. Any contract that results from a tender is between the Company and the Vendor; VendyGate is not a party to it.

Sensitive tender details (such as budget and full requirements) are only visible to the company that posted the tender and to vendors who have submitted a bid on it.

4. Service inquiries

Vendors may contact Service Providers through the Platform. Any engagement is a direct contract between the vendor and the service provider.

5. Fees

VendyGate may introduce fees for certain features. We will notify you before charging you and you may cancel affected services.

6. Prohibited use

You must comply with the Acceptable Use Policy. Fraud, misrepresentation of documents, bribery, collusion in bidding, or abuse of other users may lead to suspension or termination.

7. Termination

You may close your account at any time by contacting us. We may suspend or terminate accounts that violate these Terms or applicable law.

8. Disclaimers

The Platform is provided "as is". VendyGate does not warrant that any vendor will win a tender, that any company will award a tender, or that any counterparty will perform their contract.

9. Limitation of liability

To the maximum extent permitted by law, VendyGate is not liable for indirect, incidental, or consequential damages, or for lost profits, arising from your use of the Platform.

10. Changes

We may update these Terms. Material changes will be highlighted on the Platform.
